You are invited to WOB Director's Circle in tropical Cairns with WOB Chair, Ruth Medd and a guest panel who will share their experience as a NED and stories from the boardroom. Panel members include those from early stage companies, established entities and the ASX, so make sure you bring along any boardroom issues you may be facing.

Ruth Medd will give a short update on Women on Boards, including key factors in being a successful board candidate, and then chair the panel, where she will be discussing:

  • Challenges of early stage companies & the current regulatory environment.
  • What expertise you need to be an effective director.
  • Due diligence before you say yes.
  • Being part of an IPO.
  • How to think about the personal risks of directorship.
  • Examples of where you might get into trouble.
  • The dysfunctional board - what are your options?
  • Poor business outcomes - do you stay or do you go?
  • Protecting your reputation.

A light supper and drinks will be provided.

Guest Panel

Ruth Medd

Ruth is an experienced director; Chair, Women on Boards, Health and Sciences Institute Pty Ltd and Chair, Australian Chocolate Pty Ltd as well as Trustee, NSW Historic Houses Trust and a Board Member, National Foundation for Australian Women. She was previously the chair of Australian Ethical Superannuation, a member of the NSW Casino Control Authority and a director of the Infants Home at Ashfield. Ruth is a Certified Practicing Accountant and former IT professional.

As a founder of Women on Boards with Claire Braund she has been instrumental in supporting many thousands of women to become board members. She maintains wide interests, including in the start-up sector and angel investing as well as her other board and committee roles.

Ruth Faulkner

Ruth is a highly regarded management consultant and chartered accountant with extensive experience in the not-for-profit and commercial sectors, both in Australia and internationally. She has specific expertise in financial management, risk, strategy and governance. Ruth and her partner operate their consultancy business out of Mission Beach and service clients up and down the eastern seaboard of Queensland.

Ruth first became actively involved in a professional governance role when appointed Chair of the Cassowary Coast Regional Council Audit Committee. A position she held from Council inception in 2009 through to 2016. She has continued to sit on audit and risk committees over the past 10 years and is currently is a member at James Cook University, the Australian Physiotherapy Association and Mareeba Shire Council, where she is also the independent chair.

Ruth has been an active non-executive director since 2013, first as Chair of the inaugural board of Australian Chocolate and now as a member of the Board of North Queensland Primary Health Network, Neami National, and Mental Health and Wellbeing Australia. She chairs the finance, audit and risk management committee for all three.

David Herlihy

David has had a distinguished executive career including a number of senior roles at Capel Court Corporation Limited. In his capacity as chairman and director of various entities, he has overseen a broad range of matters including governance, funding, acquisitions and strategy. He is currently chair of ASX listed Smiles Inclusive and was previously a director of Godfrey Hirst Australia and various Paul Ramsay Group entities. He has also been deputy chairman of Craig Mostyn Holdings, chairman of the State Transit Authority of NSW, Sydney Ferries and ASX-listed Mosaic Oil NL, Pro Pac Packaging Ltd and Fraser Range Holdings Ltd. He holds a Bachelor of Arts (UNSW) and is a Fellow of the Australian Institute of Company Directors.
